Welcome to FrameReview, operated by Multiproduktion ("we", "us", "our"). By accessing or using FrameReview ("Service"), you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By accessing and using FrameReview, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

FrameReview is a collaborative video review platform that allows users to upload, review, and manage creative assets including video, image, and audio files. Our Service includes features such as:

Frame-accurate comments and feedback
Visual annotations on media files
Version control and comparison
AI-powered transcription and subtitle editing
Multi-tenant workspace management
Real-time collaboration tools

3. User Accounts

3.1 Registration

Currently, FrameReview operates on an invite-only basis. To create an account, you must receive an invitation from our team or an existing agency administrator.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service or for any other reason we deem appropriate.

4. Acceptable Use

You agree not to:

Upload content that violates any laws or infringes on others' rights
Upload malicious code, viruses, or any harmful software
Attempt to gain unauthorized access to our systems or other users' accounts
Use the Service to harass, abuse, or harm others
Resell or redistribute the Service without our written permission
Use automated systems to access the Service without authorization

5. Content Ownership and License

5.1 Your Content

You retain all ownership rights to content you upload to FrameReview. By uploading content, you grant us a non-exclusive, worldwide license to store, process, and display your content solely for the purpose of providing the Service.

5.2 Our Content

All intellectual property rights in the Service, including software, design, logos, and documentation, remain our exclusive property.

6. Payment and Billing

6.1 Subscription Plans

FrameReview offers various subscription plans with different features and limits. Pricing and plan details are available on our website or upon request during the invite-only period.

6.2 Payment Processing

Payments are processed through Paddle.com Market Limited ("Paddle"), our authorized reseller and Merchant of Record. All payment information is collected and processed by Paddle in accordance with their privacy policy and terms of service.

6.3 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription will automatically renew unless you cancel before the renewal date.

6.4 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Data Storage and Usage Limits

Your subscription plan includes specific storage and usage limits. If you exceed these limits, we may:

Notify you and provide a grace period to reduce usage
Restrict upload capabilities until you upgrade your plan
Charge overage fees as specified in your plan

8. Service Availability

While we strive to provide uninterrupted service, we do not guarantee that the Service will always be available or error-free. We may perform maintenance, updates, or modifications at any time, which may temporarily affect service availability.

9. Limitation of Liability

To the maximum extent permitted by law, FrameReview and Multiproduktion shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Privacy Policy & GDPR Compliance

10.1 Data Controller

Multiproduktion, based in Stockholm, Sweden, is the Data Controller for the personal data processed through FrameReview. For any questions about data protection, contact us at privacy@framereview.com.

10.2 GDPR Compliance Statement

FrameReview is fully compliant with the EU General Data Protection Regulation (GDPR). We are committed to protecting your privacy and ensuring you have control over your personal data. We process data based on lawful grounds, implement privacy by design, and respect all data subject rights.

Account Information: Name, email address, company name, and profile picture
Content: Media files you upload and comments/annotations you create
Usage Data: How you interact with the Service, including timestamps and features used

10.6 Data Storage Location

All customer data is stored on servers located within the European Union. We use EU-based data centers to ensure compliance with GDPR data residency requirements. Our primary infrastructure is hosted on cloud providers with EU data center regions.

10.7 Data Storage and Security

Your uploaded content is stored securely on cloud storage providers with encryption at rest and in transit. We implement industry-standard security measures to protect your data, including:

10.8 Data Sharing and Sub-processors

Video Processing: Transcoding services for video proxy generation
AI Services: OpenAI (transcription) - data processed per their DPA
Payment Processor: Paddle (Merchant of Record) - for billing only
Email Services: Transactional email delivery

All sub-processors are bound by Data Processing Agreements (DPAs) and are required to maintain appropriate security measures and GDPR compliance.

10.9 Your GDPR Rights

Under GDPR, you have the following rights regarding your personal data:

Technical and organizational security measures
Sub-processor list and notification procedures
Data breach notification procedures (within 72 hours)

10.11 Data Retention

We retain your data for as long as your account is active. If you delete your account:

Personal data is deleted within 30 days
Uploaded media files are permanently deleted within 30 days
Backup copies are purged within 90 days
Some data may be retained longer if required by law (e.g., invoices for 7 years)

10.12 Cookies

We use cookies and similar technologies to maintain your session, remember your preferences, and analyze usage patterns. We use:

11. Refund Policy

11.1 Refund Eligibility

We offer refunds under the following conditions:

Technical Issues: If you experience significant technical problems that we cannot resolve within 7 days
Cancellation Within 14 Days: Full refund if you cancel within 14 days of initial purchase (EU consumer protection)
Billing Errors: Full refund for any billing mistakes or duplicate charges

11.2 Non-Refundable Items

The following are not eligible for refunds:

Subscription renewals after the first 14 days
AI transcoding and transcription usage (once processed)
Storage overages or additional usage fees
Partial month subscriptions (we do not prorate)

11.3 How to Request a Refund

To request a refund, contact our support team at support@framereview.com with your account details and reason for the refund request. Refunds are typically processed within 5-10 business days.

11.4 Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation:

You will retain access until the end of your current billing period
No further charges will be made
Your data will be retained for 30 days after cancellation
After 30 days, your data will be permanently deleted

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.
