Terms of Service

Welcome to FrameReview, operated by Multiproduktion Norden AB ("we", "us", "our"). By accessing or using FrameReview ("Service"), you agree to be bound by these Terms of Service.

1. Acceptance of Terms

By accessing and using FrameReview, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our Service.

2. Description of Service

FrameReview is a collaborative video review platform that allows users to upload, review, and manage creative assets including video, image, and audio files. Our Service includes features such as:

• Frame-accurate comments and feedback
• Visual annotations on media files
• Version control and comparison
• AI-powered transcription and subtitle editing
• Multi-tenant workspace management
• Real-time collaboration tools

3. User Accounts

3.1 Registration

Currently, FrameReview operates on an invite-only basis. To create an account, you must receive an invitation from our team or an existing agency administrator.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service or for any other reason we deem appropriate.

4. Acceptable Use

You agree not to:

• Upload content that violates any laws or infringes on others' rights
• Upload malicious code, viruses, or any harmful software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service to harass, abuse, or harm others
• Resell or redistribute the Service without our written permission
• Use automated systems to access the Service without authorization

5. Content Ownership and License

5.1 Your Content

You retain all ownership rights to content you upload to FrameReview. By uploading content, you grant us a non-exclusive, worldwide license to store, process, and display your content solely for the purpose of providing the Service.

5.2 Our Content

All intellectual property rights in the Service, including software, design, logos, and documentation, remain our exclusive property.

6. Payment and Billing

6.1 Subscription Plans

FrameReview offers various subscription plans with different features and limits. Pricing and plan details are available on our website or upon request during the invite-only period.

6.2 Payment Processing

Payments are processed through Stripe, Inc. ("Stripe"), our payment processor. All payment information is collected and processed by Stripe in accordance with their privacy policy and terms of service. Multiproduktion Norden AB is the seller of record for all transactions.

6.3 Billing Cycle

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Your subscription will automatically renew unless you cancel before the renewal date.

6.4 Price Changes

We reserve the right to modify our pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Data Storage and Usage Limits

Your subscription plan includes specific storage and usage limits. If you exceed these limits, we may:

• Notify you and provide a grace period to reduce usage
• Restrict upload capabilities until you upgrade your plan
• Charge overage fees as specified in your plan

8. Service Availability

While we strive to provide uninterrupted service, we do not guarantee that the Service will always be available or error-free. We may perform maintenance, updates, or modifications at any time, which may temporarily affect service availability.

9. Limitation of Liability

To the maximum extent permitted by law, FrameReview and Multiproduktion Norden AB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

10. Privacy Policy & GDPR Compliance

10.1 Data Controller

Multiproduktion, based in Stockholm, Sweden, is the Data Controller for the personal data processed through FrameReview. For any questions about data protection, contact us at support@framereview.com.

10.2 GDPR Compliance Statement

FrameReview is fully compliant with the EU General Data Protection Regulation (GDPR). We are committed to protecting your privacy and ensuring you have control over your personal data. We process data based on lawful grounds, implement privacy by design, and respect all data subject rights.

10.3 Information We Collect

We collect the following types of information:

• Account Information: Name, email address, company name, and profile picture
• Content: Media files you upload and comments/annotations you create
• Usage Data: How you interact with the Service, including timestamps and features used
• Technical Data: IP address, browser type, device information, and cookies
• Payment Information: Processed and stored by Stripe (our payment processor), not on our servers

10.4 Legal Basis for Processing (GDPR Article 6)

We process your personal data based on the following legal grounds:

• Contract Performance: Processing necessary to provide you with our Service (account management, file storage, collaboration features)
• Legitimate Interest: Service improvements, security monitoring, and fraud prevention
• Legal Obligation: Compliance with accounting, tax, and other legal requirements
• Consent: Marketing communications (which you can opt-out of at any time)

10.5 How We Use Your Information

We use your information to:

• Provide and maintain the Service
• Process your uploads and enable collaboration features
• Send you service-related notifications and updates
• Improve our Service and develop new features
• Ensure security and prevent fraud
• Comply with legal obligations

10.6 Data Storage Location

All customer data is stored on servers located within the European Union:

• Media files: Cloudflare R2, Eastern Europe (EEUR) region
• Database: Supabase, EU West (Ireland) region
• Application hosting: Railway, EU region

Some processing services (video transcoding, audio transcription, voice synthesis) may process data on servers outside the EU (see Section 10.13 for transfer safeguards).

10.7 Data Storage and Security

Your uploaded content is stored securely on cloud storage providers with encryption at rest and in transit. We implement industry-standard security measures to protect your data, including:

• Encrypted data transmission (TLS 1.3/SSL)
• AES-256 encrypted storage at rest
• Regular security audits and penetration testing
• Role-based access controls
• Multi-tenant data isolation with strict separation
• Automated backup with encrypted redundancy

10.8 Data Sharing and Sub-processors

We do not sell your data. We only share data with trusted sub-processors:

All sub-processors are bound by Data Processing Agreements (DPAs) and are required to maintain appropriate security measures and GDPR compliance.

10.9 Your GDPR Rights

Under GDPR, you have the following rights regarding your personal data:

• Right of Access (Art. 15): Request a copy of all personal data we hold about you
• Right to Rectification (Art. 16): Correct any inaccurate or incomplete data
• Right to Erasure (Art. 17): Request complete deletion of your data ("right to be forgotten")
• Right to Data Portability (Art. 20): Receive your data in a machine-readable format (JSON, CSV)
• Right to Restrict Processing (Art. 18): Limit how we process your data
• Right to Object (Art. 21): Object to processing based on legitimate interests
• Right to Withdraw Consent: Withdraw consent at any time for consent-based processing

10.10 Data Processing Agreement (DPA)

For business customers, we offer a Data Processing Agreement (DPA) that outlines our obligations as a Data Processor when processing personal data on your behalf. Our DPA includes:

• Standard Contractual Clauses (SCCs) for international transfers
• Technical and organizational security measures
• Sub-processor list and notification procedures
• Data breach notification procedures (within 72 hours)
• Audit rights and compliance documentation

10.11 Data Retention

We retain your data for as long as your account is active. If you delete your account:

• Personal data is deleted within 30 days
• Uploaded media files are permanently deleted within 30 days
• Backup copies are purged within 90 days
• Some data may be retained longer if required by law (e.g., invoices for 7 years)

10.12 Cookies

We use cookies and similar technologies to maintain your session, remember your preferences, and analyze usage patterns. We use:

• Essential Cookies: Required for the Service to function (authentication, security)
• Functional Cookies: Remember your preferences and settings
• Analytics Cookies: Help us understand how users interact with the Service (anonymized)

You can control cookies through your browser settings. Disabling essential cookies may affect Service functionality.

10.13 International Data Transfers

Our primary data storage is in the EU. However, some sub-processors may process data outside the EU/EEA:

• Video transcoding (Modal.com): Processing may occur in the US
• Audio transcription (OpenAI Whisper): Processing occurs in the US
• Voice synthesis (ElevenLabs): Processing occurs in the US

For all international transfers, we ensure appropriate safeguards through:

• EU-US Data Privacy Framework certification (where applicable)
• Standard Contractual Clauses (SCCs) approved by the European Commission
• Binding Corporate Rules for intra-group transfers

10.14 Data Breach Notification

In the event of a personal data breach that poses a risk to your rights and freedoms:

• We will notify the relevant supervisory authority within 72 hours
• We will inform affected users without undue delay
• We will document all breaches and remediation actions taken

10.15 Supervisory Authority

If you believe we have not handled your data correctly, you have the right to lodge a complaint with a supervisory authority. Our lead supervisory authority is:

11. Refund Policy

11.1 14-Day Money-Back Guarantee

We offer a full, unconditional refund for any reason within 14 days of your initial purchase. No questions asked. Simply contact us at support@framereview.com to request your refund.

11.2 After 14 Days

After the initial 14-day period, subscriptions are non-refundable. However, you may cancel at any time to prevent future charges. Upon cancellation:

• You retain access until the end of your current billing period
• No further charges will be made
• Your data will be retained for 30 days after cancellation

11.3 Billing Errors

If you are charged incorrectly due to a technical error, we will issue a full refund regardless of the 14-day window.

11.4 How to Request a Refund

Contact us at support@framereview.com with your account details. Refunds are typically processed within 5-10 business days.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.
